Dual-Class Share Structure

Under the corporate constitution registered in Singapore, equity is divided into Class A (Super-Voting) and Class B (Standard Economic). Class A shares represent a 10:1 voting ratio compared to Class B, securing the Founder's long-term decision autonomy even during public capital rounds.

Reserved Matters Veto

Key strategic resolutions require the unanimous consent of the Class A share registry. These reserved matters include the transfer or licensing of any SHAN trademarks, amendment of the platform's cryptographic identity layer (UID.one), and selection/dismissal of the Chief Executive Officer.

Nomination Dominance

The Class A registry retains the exclusive statutory right to nominate and appoint the majority of seats on the Board of Directors, ensuring that the operation and vision of the SHAN ecosystem remains completely aligned.

IP Isolation Guard

All group IP (logos, trademarks, and code repositories) is held 100% at the parent level (SHAN Holdings Pte. Ltd.). Financing rounds occur exclusively at the operating commercial subsidiary (Trip.express) level, protecting the brand from operational creditor liability.
